OSDA Suggested Clauses, Option 3

These particular clauses may be useful for an employee who is wants to
retain Intellectual Property ownership of any software developed without
using their employer's resources (time or equipment).

This is probably the most liberal of the suggested options, and may be
suitable for an an employee who is employed on a basis that is not related
at all to software development.

In these clauses, replace "[employer]" with the employer's name, and any
other sections in [brackets] with the appropriate information.

1 - Intellectual Property

 1.1Owned by [employer]

    Subject to clause 1.2, the employee assigns to [employer] all
    Intellectual Property in all data, output and materials created by the
    employee during the course of their employment.
 1.2Owned by [employee]

    The employee retains all intellectual property in all data, output and
    materials created by the employee provided that:

      a. the data, output or materials is not performed using [employer]
         resources;

      b. the work is performed [outside normal working hours/or at times
         the employee is not expected to be working for the employer]; and

      c. the employee does not use an of [employer]'s Confidential
         Information.
